Agreement to Terms

By accessing or using TermSignal ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

Description of Service

TermSignal is an AI-powered platform that analyzes Google Ads search term data and provides recommendations for negative keyword optimization. The Service connects to your Google Ads account via OAuth 2.0 and uses artificial intelligence to score search terms and suggest optimization actions.

Account Registration

Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. By creating an account, you represent that all information you provide is accurate and complete.

Account Security

• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized access
• We are not liable for losses caused by unauthorized use of your account

Google Ads Connection

• You must have authorization to connect the Google Ads accounts you link to TermSignal
• You represent that you have the right to access and modify the connected accounts
• You are responsible for any changes TermSignal makes to your campaigns based on your instructions

Acceptable Use Policy

You Agree NOT To:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Infringe on intellectual property rights
• Transmit malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to compete with TermSignal
• Share your account credentials with others
• Scrape, mine, or harvest data from the Service
• Overload or interfere with the Service's operation

Google Ads Policy Compliance

You agree to:

• Comply with all Google Ads policies and terms
• Not use TermSignal to violate Google's API Terms of Service
• Take responsibility for negative keywords applied to your campaigns
• Review AI recommendations before applying them to live campaigns

Subscription and Billing

Free Tier

• Limited to 100 search terms analyzed per month
• No credit card required
• Can be upgraded to paid plan at any time

Paid Plans

• Billed monthly or annually in advance
• Prices as listed on termsignal.ai/pricing
• Payment processed via Stripe (secure payment processor)
• Automatic renewal unless cancelled

Cancellation and Refunds

• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• No refunds for partial months or unused time
• Data access continues until end of billing period
• After cancellation, your data is retained for 30 days then deleted

Price Changes

• We may change pricing with 30 days' notice
• Price changes don't affect your current billing period
• Continued use after price change constitutes acceptance

Service Modifications

We reserve the right to:

• Modify or discontinue features with reasonable notice
• Perform scheduled maintenance (announced in advance)
• Update the Service to improve functionality
• Change API rate limits or usage restrictions

We will make reasonable efforts to maintain backward compatibility and provide migration paths for breaking changes.

Data and Privacy

Your Data

• You retain all rights to your Google Ads data
• We use your data solely to provide the Service
• See our Privacy Policy for detailed data handling practices

AI-Generated Recommendations

• Recommendations are suggestions, not guarantees
• You are responsible for reviewing and approving actions
• We are not liable for campaign performance changes
• Always test recommendations before broad application

Data Backup and Security

• We maintain regular backups of your data
• We implement industry-standard security measures
• You should maintain your own backups of critical data
• No system is 100% secure; we cannot guarantee absolute security

Intellectual Property

TermSignal's Property

• The Service, including software, algorithms, and design, is owned by TermSignal
• Our trademarks, logos, and branding are protected
• You receive a limited, non-exclusive license to use the Service
• This license terminates when your subscription ends

Your Data

• You retain ownership of your Google Ads data
• You grant us a license to process your data to provide the Service
• We may use anonymized, aggregated data for analytics and improvements
• We will not sell or share your identifiable data with third parties

Service Availability and Support

Uptime

• We strive for 99.9% uptime but don't guarantee it
• Scheduled maintenance will be announced in advance
• Emergency maintenance may occur without notice

Support

• Email support provided to all paid users
• Response time: 24-48 hours for standard inquiries
• Priority support available for Enterprise plans
• Community documentation and help center available

Limitations of Liability

Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

No Liability for Campaign Performance

• We are not responsible for your Google Ads campaign performance
• AI recommendations are suggestions based on data patterns
• You assume all risk when applying recommendations
• We are not liable for lost revenue, wasted ad spend, or opportunity costs

Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERMSIGNAL SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages exceeding the amount you paid in the last 12 months

Exceptions

Some jurisdictions don't allow limitation of implied warranties or liability for incidental damages. In such cases, our liability is limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify and hold harmless TermSignal and its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of Google Ads policies
• Actions taken on your Google Ads campaigns via TermSignal

Termination

By You

You may terminate your account at any time through your account settings or by contacting hello@termsignal.ai

By Us

We may terminate or suspend your account immediately if:

• You violate these Terms
• You engage in fraudulent activity
• Your use threatens the Service's security or stability
• Required by law or legal process
• You fail to pay fees owed

Effect of Termination

• Your access to the Service ends immediately
• Your data will be deleted after 30 days
• You remain liable for any fees owed
• Provisions that should survive termination (liability, indemnification) remain in effect

Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration rather than in court, except you may assert claims in small claims court if they qualify.

Class Action Waiver

You agree to resolve disputes with TermSignal on an individual basis. You waive the right to participate in class actions, class arbitrations, or representative actions.

Exceptions to Arbitration

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TermSignal.

Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

Waiver

Failure to enforce any provision doesn't constitute a waiver of that provision.

Assignment

You may not assign or transfer these Terms. We may assign our rights and obligations to any successor entity.

Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, internet outages, government actions, etc.).

Notice

We may provide notices via email to the address on your account or by posting to the Service. You consent to receive communications electronically.

Changes to Terms

We may update these Terms from time to time. Changes are effective when posted, with material changes taking effect 30 days after notice.

Continued use after changes constitutes acceptance. If you don't agree with changes, you must stop using the Service and cancel your account.
